Netflix Announces Landmark $82.7B Acquisition of Warner Bros. Discovery and HBO Networks

In a deal that will reverberate throughout the entertainment world, Netflix has reached a definitive agreement to acquire Warner Bros. Discovery for $82.7 billion. This acquisition unites the streaming pioneer that revolutionized content consumption with the studio that helped define Hollywood, creating a merged entity with unprecedented resources for content creation and distribution.
Under the agreed structure, Warner Bros. Discovery shareholders will receive $27.75 per share, establishing total equity value at approximately $72.0 billion. The enterprise value of $82.7 billion encompasses all of Warner Bros. Discovery’s operations, including its valuable HBO franchise, extensive film library, production studios, and cable networks. The unanimous board approvals from both organizations indicate strong confidence in the merger’s potential to create value.
Netflix co-CEO Ted Sarandos highlighted the complementary strengths that each company brings to the merger. He emphasized that Warner Bros.’ century-long legacy of storytelling excellence, combined with Netflix’s innovative approach to content delivery and original programming, will create a platform capable of serving diverse audience tastes. The acquisition significantly strengthens Netflix’s competitive position against rivals like Disney+ and Amazon Prime Video.
David Zaslav, speaking for Warner Bros. Discovery, characterized the deal as a strategic imperative for the future. He noted that the entertainment industry has fundamentally changed, with streaming now representing the primary mode of content consumption for many demographics. By partnering with Netflix, Warner Bros. ensures its content remains accessible and relevant while benefiting from Netflix’s expertise in subscriber engagement and retention.
